On April 11, 2022, the Board of Directors granted a waiver of the Company's Code of Ethics to David Zaslav to permit one of Mr. Zaslav's family members who is employed by WarnerMedia to remain employed in their existing role following the Company’s acquisition of WarnerMedia.
